Terms of Use

These Terms of Use are a binding agreement between you and Necktie Labs, LLC ("Regiome," "we," "us," or "our"). They govern your access to and use of Regiome, including the website at regiome.io, the MCP endpoint at mcp.regiome.io, related documentation, and any tools, responses, or services that link to these terms.

By accessing or using Regiome, including through ChatGPT, another MCP-compatible client, an API client, a browser, or any other interface, you agree to these terms and to our Privacy Policy. If you do not agree, do not use Regiome.

1. The service

Regiome provides read-only tools for searching, retrieving, summarizing, and citing public medical, regulatory, clinical trial, biomedical literature, research funding, and terminology records. Current source families may include FDA, ClinicalTrials.gov, PubMed/NCBI, NIH RePORTER, NLM Clinical Tables, and related public source systems.

Regiome is source infrastructure for agent workflows. It is not a medical provider, healthcare provider, health plan, clinical decision support system, regulated medical device, electronic health record system, patient portal, adverse-event submission system, or emergency service.

Unless a separate written agreement says otherwise, Regiome is provided as a public evaluation service. We may add, remove, suspend, limit, or change sources, tools, features, endpoints, rate limits, access methods, or output formats at any time.

2. Eligibility and access

You must be at least 18 years old and able to form a binding contract to use Regiome. If you use Regiome on behalf of an organization, you represent that you have authority to bind that organization.

Access may occur through third-party platforms such as ChatGPT or other MCP clients. Those platforms operate under their own terms and privacy policies. We do not control how a third-party platform processes your prompts, outputs, account data, or interaction history.

We may require authentication, issue tokens, apply rate limits, or restrict access. Tokens and credentials are personal to the account or organization to which they are issued. Do not share, sell, sublicense, or use them to bypass rate limits or access controls.

3. No medical advice

Regiome does not provide diagnosis, treatment, prescribing, monitoring, triage, medical necessity review, clinical decision support, or patient-specific recommendations. Outputs are informational and must not replace professional medical judgment, patient evaluation, source verification, or applicable clinical, legal, regulatory, or compliance review.

Do not use Regiome for emergencies or time-sensitive health decisions. If you may have a medical emergency, contact emergency services or a qualified healthcare professional.

4. No PHI, EHR, or confidential workflow

Regiome is not offered as a HIPAA-compliant service and is not intended to create a business associate relationship. We do not sign business associate agreements for the public service unless a separate written enterprise agreement expressly says so.

Do not submit protected health information, patient records, medical images, insurance information, credentials, API keys, trade secrets, privileged material, client-confidential information, or other sensitive personal or confidential information. You are responsible for any information you submit through a platform, client, or API request.

Information you submit to the public service is not treated as confidential, privileged, or protected. We may process request metadata, tool names, query parameters, source identifiers, prompts, and responses as described in our Privacy Policy to operate, secure, debug, improve, defend, or discontinue the service, or as required by law.

5. Source limitations

Public source records may be incomplete, delayed, revised, duplicated, withdrawn, mislabeled, unavailable, or inconsistent across source systems. Regiome may transform, summarize, filter, or format source records for agent use, but the original source remains authoritative.

Adverse event reports, product problem reports, recall records, and enforcement records are safety and regulatory signals. They are not proof that a product caused an event, that a product is unsafe, or that a party violated law. Users must review the original source records and consult qualified professionals before acting.

Upstream source systems may impose their own licenses, notices, rate limits, attribution requirements, terms, and restrictions. You are responsible for complying with those requirements.

6. Permitted use

Subject to these terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access Regiome and use outputs for lawful research, source review, evaluation, compliance, educational, and internal workflow purposes.

Commercial resale, managed-service use, high-volume use, redistribution of access, or use requiring service commitments, private deployments, or higher rate limits requires our prior written agreement.

We and our licensors own Regiome, including its software, site, documentation, tool design, selection, arrangement, and presentation. These terms do not transfer any ownership interest to you.

Public source data remains subject to the rights and licenses of the relevant source systems and rightsholders. We do not claim ownership of underlying public records retrieved from upstream sources.

Feedback you provide may be used without restriction or compensation. Do not provide feedback you consider confidential or proprietary.

9. Third-party platforms and sources

Regiome depends on hosting providers, security providers, analytics providers, AI platforms, MCP clients, and upstream public source systems. We are not responsible for their acts, omissions, outages, data changes, security incidents, rate limits, terms, policies, or retention practices.

If you access Regiome through ChatGPT or another platform, that platform may receive, process, store, or display your prompts and outputs. Your relationship with that platform is separate from your relationship with us.

10. Suspension and termination

You may stop using Regiome at any time. We may suspend or terminate access, revoke tokens, throttle requests, remove features, or discontinue the service at any time, with or without notice, including for suspected abuse, security risk, legal risk, upstream-source risk, platform-review issues, inactivity, or violation of these terms.

Sections that by their nature should survive termination survive, including sections on no medical advice, no confidential workflow, source limitations, intellectual property, disclaimers, liability, indemnification, governing law, and miscellaneous terms.

11. Disclaimers

To the fullest extent permitted by law, Regiome and all content, outputs, source records, metadata, and services made available through it are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, currency, availability, security, and error-free operation. We do not warrant that defects will be corrected or that any output will satisfy your intended use.

12. Limitation of liability

To the fullest extent permitted by law, Necktie Labs, LLC, its affiliates, and their officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, clinical harm, regulatory action, or reliance damages, arising out of or related to Regiome.

To the fullest extent permitted by law, our aggregate liability for all claims arising out of or related to Regiome or these terms will not exceed USD 100. This cap reflects that the public service is offered for evaluation and source-research support unless a separate written agreement provides otherwise.

13. Indemnification

You agree to defend, indemnify, and hold harmless Necktie Labs, LLC, its affiliates, and their officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of Regiome, your submissions, your violation of these terms, your violation of law or third-party rights, your misuse of source data, or your use of outputs in a medical, clinical, legal, regulatory, or safety decision.

We may update these terms from time to time. The current version will be posted on this page with the updated date above. Your continued use of Regiome after changes become effective means you accept the revised terms.

15. Governing law and venue

These terms and any dispute arising out of or related to Regiome are governed by the laws of Texas, without regard to conflict of law rules. The exclusive venue for any action not subject to another written agreement is the state or federal courts located in Harris County, Texas, and you consent to personal jurisdiction and venue there.

16. Miscellaneous

These terms, together with the Privacy Policy and any written agreement that expressly applies to your use of Regiome, are the entire agreement between you and us regarding the public service. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our prior written consent. We may assign them as part of a merger, acquisition, reorganization, asset sale, or by operation of law.
